Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Subtitle Translator ("Subtitle Translator", "we", "us" or "our") and govern your access to and use of the Subtitle Translator website and service (the "Service"). Subtitle Translator is operated by LIU Yinjiwen (sole trader), with a business address at KangHua Road 205, Pudong New District, Shanghai, China. Please read these Terms carefully. By accessing or using the Service, you agree to these Terms; if you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, and old enough to form a binding contract under the law of your country, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.

2. The Service

Subtitle Translator lets you upload SubRip (.srt) subtitle files and receive an AI-generated translation while preserving the original timing and cue numbers. Translations are generated using third-party AI providers (currently OpenAI) and are produced automatically by machine learning; they may contain errors, omissions, or inaccuracies. The Service is provided for general use and is not a substitute for professional human translation where accuracy is critical.

3. Accounts

Some features require an account. You agree to provide an accurate email address, to keep your login credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use. You may delete your account at any time.

You are solely responsible for the files you submit and for ensuring you hold all rights necessary to translate them. We may suspend or remove access for conduct that violates these Terms.

5. Your content and rights

You retain all rights to the files you upload and to the resulting translations. We do not claim ownership of your content. You grant us a limited, temporary license to process your content solely to provide the translation, after which it is discarded (see our Privacy Policy). You warrant that your use of the Service and your content does not violate any law or third-party rights.

6. Plans and free tier

We offer a free tier with limited monthly translations and a paid "Pro" subscription with higher limits. Plan limits and features may change over time. We may also impose technical limits (such as maximum file size) to keep the Service reliable.

7. Subscriptions, billing, and taxes

8. Cancellation

You can cancel at any time from your billing portal (Account Settings → Manage subscription) or by contacting us. When you cancel, your subscription remains active until the end of the current billing period and is not renewed thereafter.

9. Refunds

We do not offer automatic refunds. If you are not satisfied or believe you were charged in error, contact us at support@subtran.net within 14 days of the charge, and we will review your request in good faith and on a case-by-case basis; refunds may be granted at our reasonable discretion. Nothing in this section limits any non-waivable refund or withdrawal rights you may have under applicable consumer protection law, or any refund handled under our payment provider's policies.

10. Billing disputes

If you believe a charge is incorrect, please contact us at support@subtran.net before opening a dispute or chargeback with your bank or card issuer. We will acknowledge your message within 2 business days and aim to resolve any confirmed billing error within 5 business days. Contacting us first is usually the fastest way to fix a problem and lets us correct genuine errors directly.

11. Third-party services

The Service relies on third parties (including hosting, authentication, AI processing, payment, and security providers). We are not responsible for the availability, content, or practices of third-party services, and their terms and privacy policies apply to their respective processing.

12. Intellectual property

The Service, including its software, design, text, and branding, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy, modify, or create derivative works of the Service.

13. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy, reliability, or completeness of translations. We do not warrant that the Service will be uninterrupted, secure, or error-free.

14. Limitation of liability

To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability for any claim will not exceed the greater of the amount you paid us for the Service in the three (3) months before the claim, or USD 20. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and reasonable expenses arising from your content, your use of the Service, or your violation of these Terms or of any law or third-party right.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Governing law and disputes

These Terms are governed by the laws applicable at the operator's principal place of business, without regard to conflict-of-laws rules. If you are a consumer, you also benefit from any mandatory protections of the law of your country of residence. We encourage you to contact us first to resolve any dispute informally.

18. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
